Terms of Service

1. Services Provided

Rose Thorn AI provides environmental compliance consulting, AI-enabled workflow design, diagnostics, automation projects, strategic advisory services, and related professional services (collectively, "Services").

Services may include assessments, reports, workflow designs, automation prototypes, dashboards, training materials, strategic guidance, and ongoing advisory support, as described in individual service descriptions or written agreements.

All Services are advisory in nature.

2. No Legal or Regulatory Advice

Rose Thorn AI does not provide legal advice. Nothing provided through our Services constitutes legal, regulatory, or compliance certification advice.

Clients remain solely responsible for:

• Interpreting and complying with applicable laws and regulations
• Making operational and compliance decisions
• Implementing corrective actions
• Submitting regulatory filings or reports

You are encouraged to consult qualified legal counsel or regulatory authorities as appropriate.

3. Engagement Scope

Each engagement is defined by:

• A written scope of work
• A service description on our website
• Or a mutually agreed written agreement

Any work outside the agreed scope may require a separate agreement or additional fees.

4. Fees and Payment

• Fees are stated in U.S. dollars unless otherwise noted
• Payment terms are specified at purchase or in the applicable agreement
• One-time services are billed upfront unless otherwise agreed
• Retainer services are billed monthly
• Payments are processed via Stripe or another approved payment processor

Failure to pay may result in suspension or termination of Services.

5. Cancellations and Refunds

Unless otherwise stated in writing:

• One-time service fees are non-refundable once work has begun
• Retainer services may be canceled with written notice, effective at the end of the current billing period
• No refunds are provided for partial work completed or partial billing periods

6. Client Responsibilities

Clients agree to:

• Provide accurate and timely information
• Provide access to necessary documents, data, and personnel
• Designate a point of contact for decision-making
• Review deliverables in a timely manner

Delays caused by incomplete or inaccurate information may affect timelines and outcomes.

7. Intellectual Property

Unless otherwise agreed in writing:

• Rose Thorn AI retains ownership of its methodologies, frameworks, templates, tools, and pre-existing intellectual property
• Clients receive a non-exclusive license to use delivered materials for internal business purposes
• Clients may not resell, sublicense, or distribute deliverables without written permission

Custom-developed materials may be governed by separate written terms.

8. Confidentiality

Both parties agree to maintain the confidentiality of non-public information shared during an engagement, except as required by law or agreed in writing.

9. Disclaimer of Warranties

Services are provided "as is" and "as available." Rose Thorn AI makes no guarantees regarding:

• Regulatory outcomes
• Audit results
• Enforcement actions
• Financial savings
• Operational performance

Compliance outcomes depend on many factors beyond our control.

10. Limitation of Liability

To the fullest extent permitted by law:

• Rose Thorn AI shall not be liable for indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the fees paid for the specific service giving rise to the claim

11. Independent Contractor Relationship

Nothing in these Terms creates an employment, partnership, joint venture, or fiduciary relationship. Rose Thorn AI acts solely as an independent contractor.

12. Modifications to Terms

We reserve the right to update these Terms at any time. Continued use of Services after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.
